Constitution and Rules

Newington and District Gardeners Association

1. The Association shall be called Newington and District Gardeners Association.
2. The objective of The Association shall be to promote general interest in horticulture to all Members.
3. Membership of the Association shall be open to all subscribers proposed by a Member of the Association. An annual subscription will be payable, the amount being subject to revision at the Annual General Meeting.
4. The Officers of the Association will be:
President
Vice President
Chairperson
Vice Chairman
Honourable Secretary
Honourable Treasurer
Show Secretary
Village Hall Representative
Minimum Three Committee Members
All of whom shall retire annually and shall be eligible for re-election at the Annual General Meeting. All Officers, except the President and Vice President, shall be ex-officio members to all Committees that may be appointed.
4a. In the event of there being no Elected Chairperson or Vice Chairperson the duly elected Committee will oversee the day to day business.
5. The Business of the Association shall be conducted at monthly Meetings and by the Officers who form the Executive Committee.
6. The Annual General Meeting shall take place in February at which reports from the Secretary and Treasurer (who will report on the balance sheet) shall be presented. All Officers, including the Auditor, shall be elected. The date of the Annual General Meeting shall be displayed one month before the chosen date. Copies of all resolutions to be proposed at the Annual General Meeting shall be sent to the Hon. Secretary one month before the date of the meeting. A Special Annual General Meeting may be called by no less than four members having given seven days written notice to the Hon. Secretary.
7. Finance: All funds shall be deposited in a Financial institution nominated by the Committee. Subscriptions shall fall due at the Annual General Meeting. Any member who falls six months in arrears with their subscriptions will cease to be a member at the discretion of the committee. The Financial year shall run from 1st December until 30th November.
8. Dissolution of the Association: Should the Association cease to function for any reason, the closing date shall deem to be the date of the last formal meeting and by the consent of the elected Officers and paid-up members on the date of that final Meeting. The Secretary being required to have an attendance book signed by all those in attendance. All monies and assets will be secured for a period of not less than 12 months, by the Committee Trustees. If during the said twelve-month period a favourable proposal to reinstate the Association is forthcoming, the elected Officers and paid-up members that were in attendance at the last formal meeting will consider the proposal. If after the twelve-month period no acceptable proposal has been forthcoming, all trophies held by the Trustees will be offered, where applicable, back to the original donor or family thereof. All monies held in accounts in the name of the Association shall, after all debts and expenses have been settled, be shared equally by all paid-up members who have been in paid-up membership of the Association for the proceeding twenty-four consecutive months.
